1. Introduction and Acceptance
These Terms and Conditions ("Terms") govern your access to and use of services provided by Sidekick AI Orchestration Ltd. ("Sidekick," "we," "us," or "our"), a company incorporated under the laws of British Columbia, Canada (BC1583404), with its principal place of business at 408 – 55 Water Street, Office #8311, Vancouver, BC V6B 1A1.
By purchasing, accessing, or using any Sidekick service, you ("Client" or "you") agree to be bound by these Terms in full. If you do not agree, do not purchase or use our services.
2. Definitions
- "Solo Engagement" means the Sidekick Solo service: a one-time, done-for-you AI workflow configuration delivered to an individual for that individual's personal professional use.
- "Solo Deliverables" means all files, configurations, prompts, skill files, templates, workflows, documentation, and materials delivered to you as part of a Solo Engagement.
- "Discovery Sprint" means a fixed-scope scoping engagement in which Sidekick assesses a client's existing workflows and produces a prioritized AI implementation plan.
- "Build Session" means a fixed-scope, time-boxed B2B engagement in which Sidekick designs, configures, and deploys AI workflows for a business client, priced on a per-session basis.
- "Retainer" means a recurring monthly B2B engagement in which Sidekick provides ongoing AI workflow support, optimization, and development to a business client.
- "B2B Engagement" means any Discovery Sprint, Build Session, Retainer, or custom deployment service provided to a business entity.
- "Services" means all engagements, deliverables, and materials provided by Sidekick, whether Solo or B2B.
- "Sidekick IP" means all intellectual property owned by or licensed to Sidekick, including but not limited to: methodologies, frameworks, prompt architectures, skill file structures, workflow designs, templates, and any derivative works thereof.
3. Sidekick Solo: Individual License Terms
3.1 License Grant
Subject to full payment and your compliance with these Terms, Sidekick grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Solo Deliverables solely for your own personal professional purposes. This license is granted to you as an individual and may not be assigned or transferred.
3.2 Restrictions
You may not, directly or indirectly:
(a) Redistribute the Solo Deliverables, in whole or in part, to any third party, whether for compensation or at no charge;
(b) Sell, sublicense, lease, or rent access to the Solo Deliverables or any system, tool, or service built using them;
(c) Share the Solo Deliverables with colleagues, employees, contractors, or any other individual, except as expressly authorized in writing by Sidekick;
(d) Use the Solo Deliverables to build, configure, or operate AI systems for third parties, whether as a service, product, or internal tooling for another organization;
(e) Create derivative works based on the Solo Deliverables that are distributed, sold, or used by any party other than yourself;
(f) White-label or rebrand any portion of the Solo Deliverables for resale or distribution;
(g) Reverse-engineer, disassemble, or extract the underlying methodology, architecture, or structure of the Solo Deliverables for the purpose of replication or commercialization;
(h) Upload or publish the Solo Deliverables to any public repository, marketplace, or platform.
3.3 Proprietary and Confidential
All Solo Deliverables are proprietary to Sidekick AI Orchestration Ltd. and are provided to you in confidence. You agree to treat the Solo Deliverables with at least the same degree of care you use to protect your own confidential information, but no less than reasonable care.
3.4 Intellectual Property Ownership
Notwithstanding delivery of the Solo Deliverables to you, Sidekick retains full ownership of all intellectual property rights in the Solo Deliverables, including all underlying methodologies, frameworks, prompt structures, and skill architectures. You receive a license only; no ownership interest is transferred.
3.5 No Warranty on AI Outputs
Sidekick does not warrant the accuracy, completeness, or fitness for purpose of any outputs generated by AI tools configured as part of your Solo Engagement. AI outputs are provided for informational and productivity purposes only. You are solely responsible for reviewing, verifying, and acting on any AI-generated content.
3.6 Refund and Support
Following delivery confirmation, you are entitled to a seven (7) day refinement window, subject to Sidekick's reasonable availability, during which Sidekick will address corrections and clarifications within the original scope of the engagement. The refinement window covers corrections to delivered materials only; it does not cover new features, additional configurations, or scope changes. No refunds are provided after delivery. Any additional post-delivery support beyond the refinement window will be specified in your purchase confirmation.
3.7 Termination for Breach
Sidekick may immediately terminate your license upon notice if you breach any provision of this Section 3. Upon termination: (a) your license to use the Solo Deliverables is revoked; (b) you must permanently delete all copies of the Solo Deliverables in your possession; and (c) Sidekick reserves the right to pursue all available legal remedies, including damages for any unauthorized use, redistribution, or commercialization.
3.8 Solo Ongoing Support
Where a monthly Solo Ongoing Support plan is offered, the following terms apply: (a) the plan operates on a month-to-month basis and may be cancelled by either party on thirty (30) days' written notice; (b) cancellation takes effect at the end of the notice period and no partial-month refunds are provided; (c) unused support time does not roll over to subsequent months; (d) Sidekick reserves the right to adjust plan pricing with sixty (60) days' written notice; pricing changes do not affect the current billing period in which notice is given.
4. B2B Services: Engagement Terms
4.1 Scope of Engagement
B2B Services (Discovery Sprints, Build Sessions, Retainers, and custom deployments) are governed by these Terms together with any Statement of Work, engagement letter, or proposal agreed between the parties. In the event of a conflict, the Statement of Work prevails.
4.2 Deliverables and Ownership
Unless otherwise expressly agreed in writing:
- Pre-existing IP: All Sidekick methodologies, frameworks, templates, skill architectures, and proprietary materials incorporated into B2B deliverables remain the exclusive property of Sidekick. You receive a limited license to use such materials solely within your organization for internal business purposes.
- Custom-built deliverables: Workflow configurations, automation scripts, and documentation built specifically for your organization and paid for in full may be used by you within your organization. Sidekick retains the right to use the underlying methodologies and non-client-specific elements in other engagements.
- No resale: You may not resell, sublicense, or distribute any deliverable received under a B2B Engagement to third parties without Sidekick's prior written consent.
4.3 Client Responsibilities
You agree to: (a) provide accurate and complete information necessary for the engagement; (b) make required personnel available for scoping and review sessions; (c) review and provide feedback on deliverables within agreed timelines; and (d) ensure your use of AI tools and workflows complies with all applicable laws and your own internal policies.
4.4 Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with an engagement. This obligation survives termination of the engagement for a period of two (2) years. Confidential information does not include information that: (a) is or becomes publicly known through no breach of this agreement; (b) was rightfully known before disclosure; or (c) is independently developed without use of the other party's confidential information.
5. Payment and Billing
Payment is required in advance via Stripe unless otherwise agreed in writing. Prices are listed in USD unless stated otherwise. Sidekick reserves the right to update pricing at any time; changes do not affect confirmed purchases or active Statements of Work.

You agree to indemnify, defend, and hold harmless Sidekick AI Orchestration Ltd. and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) your use of the Services in violation of any applicable law; or (c) any unauthorized distribution or commercialization of Solo Deliverables.
9. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms or any Service that cannot be resolved by good-faith negotiation shall be submitted to binding arbitration in Vancouver, British Columbia, in accordance with the Arbitration Act (BC). The decision of the arbitrator shall be final and binding. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from a court of competent jurisdiction in British Columbia to prevent irreparable harm.
10. General
- Entire Agreement: These Terms, together with any applicable Statement of Work or purchase confirmation, constitute the entire agreement between you and Sidekick with respect to the Services.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force.
- Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
- Assignment: You may not assign your rights or obligations under these Terms without Sidekick's prior written consent. Sidekick may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.
- Changes: Sidekick may update these Terms at any time. Updated Terms will be posted at this URL. Continued use of Services after posting constitutes acceptance of the updated Terms.
